Purchase & Delivery Terms & Conditions

1. Acceptance of Terms

By submitting payment toward an invoice or order from American Containers LLC, the customer acknowledges and agrees to these Purchase & Delivery Terms & Conditions and any applicable written Warranty Terms.

Payment constitutes the customer's authorization of the transaction and acknowledgment that the customer has had an opportunity to review the applicable purchase terms before payment.

No handwritten or electronic signature is required when acceptance is established through payment.

2. Container Condition

Shipping containers are industrial equipment, and appearance will vary from container to container.

Used containers may have dents, scratches, surface rust, patches, repairs, markings, faded or mismatched paint, previous shipping labels, floor wear, and other cosmetic imperfections consistent with their age and prior use. Cosmetic appearance alone does not determine whether a used container meets its represented condition grade.

Containers are sold according to the size, type, and condition identified on the customer's applicable invoice or sales documentation, including, when applicable:

• Wind and Watertight
• Cargo Worthy
• One Trip
• Standard
• High Cube
• Double Door
• Side Door
• Other specialty configurations specifically identified on the invoice

Unless a specific container has been expressly identified and approved by the customer before purchase, photographs provided on our website, advertisements, Marketplace listings, quotes, messages, or other marketing materials may be representative of the general size, type, or condition being offered and may not depict the exact container delivered.

3. Pricing & Payment

The customer's invoice identifies the applicable container price, delivery charge, sales tax, fees, discounts or credits, and total amount due.

Payment is due according to the terms stated on the invoice.

Payment methods may include ACH/bank transfer, credit or debit card, Venmo Business, or another payment method specifically authorized by American Containers LLC.

Any applicable payment-processing fee will be disclosed as part of the transaction.

4. Sales Tax & Tax Exemption

Applicable sales tax will be charged when required by law.

Customers claiming a sales-tax exemption are responsible for providing American Containers LLC with properly completed and valid exemption documentation before the transaction is treated as exempt.

The customer is responsible for the accuracy and legitimacy of information provided in support of a claimed exemption. American Containers LLC reserves the right to decline an exemption when adequate documentation has not been provided or when the documentation does not reasonably support the claimed exemption.

5. Delivery Requirements

The customer is responsible for ensuring that the delivery location, access route, and placement area are reasonably suitable for the truck, trailer, container, and delivery operation.

Unless otherwise specifically approved by American Containers LLC before delivery, the customer must provide:

• 20ft container: Minimum of 60 feet of total straight-line clearance for the truck, trailer, container, and unloading operation.
• 40ft container: Minimum of 120 feet of total straight-line clearance for the truck, trailer, container, and unloading operation.
• Minimum 14-foot overhead travel clearance throughout the delivery route and unloading area.
• Sufficient width for the delivery equipment to safely enter, maneuver, unload, and exit.
• No vehicles, structures, fences, gates, trees, branches, utility lines, or other obstructions blocking or materially restricting access.
• Ground conditions reasonably capable of supporting the weight of the loaded delivery equipment.
• A reasonably level, firm, and suitable container placement area.

The stated clearance requirements are minimum guidelines and do not guarantee that delivery can be completed. Additional space may be required depending on the delivery location, approach angle, turns, gates, road width, terrain, ground conditions, container configuration, placement orientation, and other site-specific circumstances.

The customer is responsible for identifying and disclosing known property lines, easements, septic systems, septic tanks or lateral fields, underground utilities, irrigation systems, overhead utilities, drainage areas, soft or unstable ground, culverts, structures, trees, and other obstacles or conditions that could affect delivery.

The customer is responsible for obtaining any permission necessary for the delivery equipment to enter or cross property not owned or controlled by the customer.

Final determination of whether the site is accessible and whether the requested placement can be completed safely remains with American Containers LLC and/or the delivery driver. American Containers LLC may refuse, modify, or discontinue a delivery or requested placement when conditions present an unreasonable risk of personal injury, property damage, equipment damage, becoming stuck, or unsafe operation.

If delivery cannot be completed because the site does not meet these requirements, because site conditions were not accurately disclosed, or because adequate access or clearance is unavailable, additional delivery, transportation, storage, or return-trip charges may apply.

6. Delivery & Placement

American Containers LLC will make reasonable efforts to place the container at the location requested by the customer.

Final placement is subject to accessibility, site conditions, available maneuvering space, weather and ground conditions, equipment limitations, and safe operation.

American Containers LLC and/or the delivery driver may refuse, modify, or discontinue a requested delivery or placement when it is reasonably determined that proceeding could create an unsafe condition, cause property or equipment damage, result in the truck or trailer becoming stuck, or otherwise create an unreasonable risk.

The customer is responsible for selecting and approving the requested placement location.

7. Unsuccessful or Additional Delivery

If delivery cannot reasonably be completed because the delivery location does not meet the disclosed delivery requirements, access is unavailable, site conditions are materially different from those represented by the customer, or another circumstance attributable to the customer prevents completion, additional delivery, transportation, storage, or return-trip charges may apply.

Any additional charges will reflect reasonable costs associated with the additional service required.

8. Cancellations & Refunds

Customers should contact American Containers LLC as soon as possible if an order must be changed or canceled.

Once a container has been specifically allocated, dispatched, loaded, transported, delivered, or American Containers LLC has otherwise incurred costs in reliance on the customer's order, cancellation or refund eligibility may be limited.

Any approved refund may be reduced by reasonable costs already incurred in connection with the transaction, including transportation, loading, payment-processing, or other nonrecoverable expenses, to the extent permitted by applicable law.

Nothing in these Terms limits rights or remedies that cannot legally be waived.

9. Inspection & Delivery Acceptance

The customer should inspect the container upon delivery when reasonably possible.

Any condition believed to be materially inconsistent with the size, type, or condition purchased should be brought to the attention of American Containers LLC promptly.

Acceptance of delivery does not eliminate any applicable written warranty provided by American Containers LLC.

10. Warranty

Any warranty applicable to a container or other product is governed by the written Warranty Terms applicable to that transaction.

Warranty eligibility, coverage, exclusions, claim requirements, and available remedies will be determined according to those Warranty Terms and applicable law.

Except for warranties expressly provided in writing and rights or warranties that cannot legally be excluded or limited, no additional warranty is created by these Purchase & Delivery Terms & Conditions.

11. Customer-Provided Information

The customer is responsible for providing accurate information necessary to complete the transaction and delivery, including the delivery address, contact information, requested container specifications, site-access information, and applicable tax-exemption information.

American Containers LLC may rely upon information provided by the customer when preparing, scheduling, and completing the transaction.

12. Transaction Authorization

By submitting payment, the customer represents that the transaction is authorized and that the customer is authorized to use the payment method submitted for the purchase.

Payment of an invoice constitutes acknowledgment of the purchase amount and authorization for American Containers LLC to fulfill the order according to the invoice and these Terms.

13. Entire Transaction Documentation

The applicable invoice, these Purchase & Delivery Terms & Conditions, applicable Warranty Terms, and any other written terms expressly incorporated into the transaction collectively document the terms applicable to the purchase.

Any modification to the specific price, product, delivery service, or other material transaction term must be confirmed by American Containers LLC.

14. Applicable Law

These Terms and transactions with American Containers LLC are governed by applicable federal law and the laws of the State of Kansas, without limiting any consumer rights that cannot lawfully be waived.
